Terms of Use

Please read these Terms of Use carefully before using the RocketPay Platform or Services. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform or Services.

1. Introduction

These Terms of Use (“Terms”) constitute a legally binding agreement between Absird Financial Technologies Private Limited, a company incorporated under the Companies Act, 2013, operating under the brand name “RocketPay” (“Company”, “we”, “our”, or “us”), and you (“User”, “Customer”, “Partner”, or “you”), governing your access to and use of the RocketPay platform, products, and services.

RocketPay provides collections and recovery infrastructure for businesses and lenders, enabling automated payment collections via UPI Autopay mandates and eNACH (Electronic National Automated Clearing House) mandates, and mobile device locking solutions for lenders who finance mobile devices. We are a technology platform — not a bank, not a payment bank, and not an NBFC.

These Terms apply to all categories of users on our platform, including NBFCs, Fintech lenders, Microfinance Institutions (MFIs), Credit Cooperative Societies, MSME businesses (retailers, distributors, manufacturers, wholesalers), and SaaS/subscription businesses.

2. Definitions

In these Terms, unless the context otherwise requires:

“Platform”The RocketPay web application, mobile application, APIs, Tally plugin, and all associated technology and infrastructure operated by the Company.
“Services”All services provided by RocketPay including UPI Autopay mandate management, eNACH mandate management, device locking, collections workflow automation, API integrations, and any ancillary services.
“Customer”Any business, lender, NBFC, MFI, Credit Cooperative Society, MSME, distributor, manufacturer, wholesaler, or subscription business that has registered on the Platform to use the Services.
“End-User”The borrower, debtor, subscriber, or individual whose payment mandate is set up or whose device is subject to locking through the Platform.
“Mandate”A UPI Autopay mandate or an eNACH mandate authorised by an End-User enabling recurring debit instructions on their bank account.
“UPI Autopay”The NPCI-governed recurring payments framework that allows customers to pre-authorise future debits via Unified Payments Interface.
“eNACH”Electronic National Automated Clearing House — the RBI-governed framework for electronic mandate registration and recurring debit instructions via bank accounts.
“Device Locking”The feature enabling lenders who finance mobile devices to remotely lock or restrict device functionality upon payment default, as authorised under RBI’s Device Locking Compliance (DLC) framework and facilitated through Trustonic technology.
“Trustonic”Trustonic Limited, our technology partner for device locking, and the provider of Google’s Device Lock Controller (DLC) solution. RocketPay is the exclusive national distributor of Trustonic in India.
“Google DLC”Google’s Device Lock Controller — an RBI-compliant OEM-level locking solution for Android devices used in the financing context.
“API”Application Programming Interface — the integration layer through which Customers connect their own systems to the RocketPay Platform.
“NPCI”National Payments Corporation of India.
“RBI”Reserve Bank of India.
“DPDP Act”The Digital Personal Data Protection Act, 2023.
“Personal Data”Any data about an individual who is identifiable by or in relation to such data, as defined under the DPDP Act, 2023.
“Data Fiduciary”An entity that determines the purpose and means of processing Personal Data, as defined under the DPDP Act, 2023.
“Data Principal”The individual to whom Personal Data relates, as defined under the DPDP Act, 2023.
“Applicable Law”All laws, regulations, guidelines, circulars, directions, and notifications in force in India including but not limited to the IT Act 2000, DPDP Act 2023, Payment and Settlement Systems Act 2007, RBI Master Directions on Payment Aggregators (2020, as amended), NPCI Operating Circulars for UPI and NACH, Consumer Protection Act 2019, and the Companies Act 2013.
“Confidential Information”Any non-public information disclosed by one party to the other in connection with the Services, including business data, customer data, technical information, and pricing.

3. Services Provided

3.1 Core Services

RocketPay provides the following core services, described in detail in Schedule I:

  • UPI Autopay Mandate Management — creation, modification, pause, and cancellation of UPI Autopay mandates on behalf of Customers for collection from End-Users.
  • eNACH Mandate Management — registration, management, and execution of eNACH mandates for recurring debit instructions from End-Users’ bank accounts.
  • Device Locking (Trustonic / Google DLC) — OEM-level and application-level locking of financed mobile devices, in partnership with Trustonic, in compliance with RBI’s Device Locking Compliance framework.
  • Collections Workflow Automation — automated scheduling, retry logic, reconciliation, and reporting for payment collections.
  • API Integration Layer — RESTful APIs enabling Customers to integrate mandate creation, status monitoring, and collections into their own systems.
  • Android Application — a native Android app for field use, enabling Customer agents to set up mandates and manage collections on-the-go.
  • Tally Plugin — an integration module enabling MSME Customers using Tally ERP to connect their accounts receivable workflows with RocketPay.

3.2 Service Availability

We aim to maintain the Platform at high availability. However, we do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where practicable. Unplanned downtime attributable to payment network outages (NPCI, bank systems, telecom infrastructure) is outside our control and does not constitute a breach of these Terms.

3.3 Modifications to Services

We reserve the right to add, modify, or discontinue any feature or service with reasonable notice to Customers. Material changes to the nature of the Services will be notified at least 30 days in advance.

4. Customer Eligibility and Onboarding

4.1 Eligibility

To use the Platform as a Customer, you must:

  • Be a duly incorporated entity or registered business operating in India;
  • Have valid business registration documents, GST registration (where applicable), and any licences required for your specific business activity (e.g., NBFC licence from RBI for lending entities);
  • Not be on any RBI, NPCI, or government sanctions list;
  • Not operate in any prohibited category listed in Section 10 of these Terms.

4.2 KYC and Onboarding

All Customers must complete RocketPay’s onboarding process, including submission of Know Your Business (KYB) documentation. We reserve the right to reject any Customer application without assigning reasons. Onboarding is subject to our internal risk assessment, regulatory requirements, and applicable NPCI and RBI guidelines on merchant/participant onboarding.

4.3 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials. You must immediately notify us at support@rocketpay.co.in if you become aware of any unauthorised access to your account.

5. UPI Autopay Mandate Terms

5.1 Mandate Creation

Customers may create UPI Autopay mandates on behalf of End-Users only after obtaining valid, informed, and explicit consent from each End-User. By initiating mandate creation through the Platform, the Customer confirms that:

  • The End-User has been clearly informed of the mandate amount, frequency, and purpose;
  • The End-User has completed the UPI authentication flow on their UPI-enabled application;
  • The mandate has been registered in accordance with NPCI Operating Circulars for UPI Autopay.

5.2 Mandate Modification and Pause

Modification or pause of active mandates must comply with NPCI guidelines. Customers must not modify mandate amounts or frequencies without fresh End-User authorisation where required under NPCI Operating Circulars.

5.3 Mandate Cancellation — End-User Rights

End-Users have the right to cancel their UPI Autopay mandate at any time through their UPI-enabled application (e.g., BHIM, Google Pay, PhonePe, Paytm, or their bank’s application) or by contacting us or the Customer directly. Customers must acknowledge and process End-User cancellation requests in accordance with NPCI guidelines and must not obstruct or delay End-User cancellation requests.

5.4 Execution and Failures

RocketPay will execute debit instructions in accordance with the mandate schedule. In the event of a debit failure, we will communicate the failure to the Customer. The retry policy is configurable by the Customer within NPCI-permitted limits. RocketPay does not guarantee successful collection and is not liable for debit failures attributable to insufficient balance, bank-side blocks, or network failures.

5.5 NPCI Compliance

All UPI Autopay mandate operations are governed by NPCI Operating Circulars and the UPI ecosystem rules as amended from time to time. Customers must comply with NPCI’s rules applicable to merchants/participants in the UPI Autopay ecosystem. Non-compliance may result in suspension of the Customer’s UPI Autopay facility.

6. eNACH Mandate Terms

6.1 Mandate Registration

eNACH mandate registration is facilitated by RocketPay in partnership with authorised sponsor banks. Customers must ensure that mandate registration is completed with genuine, informed consent from the End-User, and that all required authentication steps (net banking or debit card authentication) are completed by the End-User.

6.2 End-User Rights — Cancellation

End-Users may cancel eNACH mandates at any time by contacting their bank directly or through the Customer. Customers must not prevent, delay, or obstruct an End-User’s request to cancel a mandate. Upon receipt of a cancellation request, the Customer must process it within the timeframe specified by NPCI/NACH operating rules and applicable RBI guidelines.

6.3 Presentation and Dishonour

Customers are responsible for ensuring that mandate presentation instructions are sent only for amounts and on dates consistent with the registered mandate. Excess or irregular presentations that result in dishonour or End-User complaints may result in suspension of eNACH facilities. Dishonour charges, where applicable, are borne by the Customer.

6.4 Regulatory Compliance

eNACH mandate operations are governed by NPCI’s ACH Operating Circulars, the sponsor bank’s terms, and applicable RBI guidelines. Customers acknowledge their responsibility to operate within these frameworks.

7. Device Locking Terms

This section applies only to Customers using RocketPay’s Device Locking feature. Device locking involves remotely restricting the functionality of a financed mobile device upon payment default. Customers must ensure strict compliance with all requirements in this section.

7.1 Applicable Framework

The Device Locking feature is provided in compliance with the Reserve Bank of India’s guidelines on Device Lock Controller (DLC) for mobile phone financing, and operates through Trustonic’s technology platform (including Google DLC and OEM-native locking solutions). RocketPay is the exclusive national distributor of Trustonic’s DLC solutions in India.

7.2 End-User Consent — Mandatory Requirement

Before any device locking functionality is activated on a financed device, the Customer must:

  • Obtain explicit, written (or digitally authenticated) consent from the End-User (borrower/buyer) acknowledging that the device may be locked in the event of a payment default;
  • Clearly disclose in the hire-purchase agreement, loan agreement, or financing terms: (a) the conditions under which the device will be locked; (b) the process for unlocking the device upon payment; (c) the Customer’s contact details for unlock requests; and (d) any EMI or lock-specific support channel;
  • Retain records of End-User consent and the financing agreement for a minimum of 5 years.

7.3 Lock Conditions

A device lock may only be triggered upon a bona fide payment default as defined in the financing agreement between the Customer and the End-User. Device locking for any purpose other than payment default — including harassment, coercion, or any purpose not covered by the financing agreement — is strictly prohibited and constitutes a violation of these Terms.

7.4 Unlock Process

Customers must maintain a clear, accessible, and responsive unlock process. Upon an End-User making the overdue payment or reaching a settlement, the Customer must initiate the device unlock within a reasonable timeframe. Customers must not withhold device unlocks after payments have been received as confirmed.

7.5 Prohibited Lock Actions

The following are strictly prohibited in connection with the Device Locking feature:

  • Locking devices of End-Users who are not in default;
  • Locking devices in a manner that prevents End-Users from making emergency calls;
  • Using device locking as a debt collection harassment tool;
  • Sharing or misusing End-User device information for purposes other than the financing and locking use case;
  • Activating locks on devices not covered by a valid, documented financing agreement.

7.6 Customer Liability

The Customer bears sole responsibility for ensuring that device locking is used in compliance with the RBI’s DLC framework, applicable consumer protection laws, and these Terms. RocketPay provides the technology infrastructure and is not a party to the financing agreement between the Customer and the End-User. Any claims arising from improper use of the Device Locking feature are the exclusive liability of the Customer.

7.7 Trustonic Licence Terms

Use of the Trustonic platform is additionally subject to Trustonic’s end-user licence terms. By using the Device Locking feature, you acknowledge and accept Trustonic’s applicable licence and usage terms.

8. Platform Access and API Usage

8.1 Licence Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform and APIs solely for your internal business purposes in connection with the Services.

8.2 API Keys and Security

API keys issued to you are confidential and must not be shared with third parties. You are responsible for all API calls made using your credentials. If you suspect unauthorised use of your API key, you must revoke it immediately and notify us.

8.3 Restrictions

You must not:

  • Reverse engineer, decompile, or disassemble any part of the Platform;
  • Use the Platform in a manner that could damage, disable, or impair it;
  • Resell or sublicence access to the Platform or APIs without our prior written consent;
  • Exceed the API rate limits or usage quotas we specify;
  • Use automated scripts, bots, or crawlers to access the Platform except through the designated API.

8.4 Tally Plugin

The Tally Plugin is provided as an integration module for Tally ERP users. Use of the Tally Plugin is subject to these Terms as well as Tally Solutions’ applicable licence terms. We are not affiliated with or endorsed by Tally Solutions Pvt. Ltd.

9. Collections and Settlements

9.1 Collection Flows

RocketPay facilitates the execution of mandate-based debit instructions. Collected amounts are processed through the relevant payment network (NPCI for UPI Autopay; NACH / sponsor bank for eNACH) and settled to the Customer’s registered bank account per the settlement schedule agreed during onboarding.

9.2 Settlement Timelines

Settlement timelines are governed by the payment network and banking partner settlement cycles. RocketPay does not hold customer funds beyond the settlement period. Any dispute regarding settlement amounts must be raised within 7 calendar days of the settlement report.

9.3 Reconciliation

Customers are responsible for reconciling collections against their own records. RocketPay provides reconciliation reports through the Platform dashboard. Discrepancies must be reported to support@rocketpay.co.in within 7 business days of the settlement.

9.4 Pricing and Fees

Applicable fees and pricing are set out in your Customer Agreement or order form. Fees may be revised with 30 days’ written notice to the Customer.

10. Prohibited Activities and Merchant Categories

10.1 Prohibited Uses

You must not use the Platform or Services for:

  • Any unlawful purpose or in violation of Applicable Law;
  • Facilitating or funding terrorist activities, money laundering, or activities banned under Indian law;
  • Collecting payments for products or services that are banned, illegal, or not authorised under your applicable regulatory licences;
  • Charging End-Users amounts not agreed to in the underlying financial or commercial agreement;
  • Harassment, intimidation, or coercive collection practices prohibited under RBI’s Fair Practices Code for NBFCs, MFIN’s Code of Conduct, or the Consumer Protection Act 2019;
  • Circumventing or bypassing RBI guidelines on digital lending, collections, or payment networks.

10.2 Prohibited Merchant/Business Categories

The following categories of businesses are not permitted to use the Platform:

  • Businesses engaged in gambling, betting, or lotteries (unless operating under a valid state government licence);
  • Cryptocurrency exchanges or businesses primarily transacting in virtual digital assets for speculative purposes;
  • Adult content platforms;
  • Businesses on RBI, NPCI, ED, or government sanctions or watch-lists;
  • Pyramid schemes or multi-level marketing businesses without a legitimate underlying product;
  • Any business that RocketPay determines, at its sole discretion, poses unacceptable legal, regulatory, reputational, or financial risk.

This list is indicative and may be updated. RocketPay reserves the right to terminate or suspend Services to any Customer whose activities fall into a prohibited category, with or without prior notice.

11. Data Privacy and the DPDP Act, 2023

This section governs how RocketPay collects, processes, stores, and protects Personal Data in accordance with the Digital Personal Data Protection Act, 2023 (DPDP Act).

11.1 Role of the Parties

RocketPay acts as a Data Fiduciary in relation to Personal Data it collects directly from Customers and End-Users for the purpose of operating the Platform. Where RocketPay processes Personal Data on behalf of Customers (e.g., End-User mandate data provided by Customers), RocketPay acts as a Data Processor, and the Customer is the Data Fiduciary.

11.2 Data We Collect

  • From Customers: Business registration details, GST details, authorised signatory information, bank account details, API usage data, transaction data.
  • From End-Users (where applicable): Name, mobile number, UPI ID, bank account details, mandate authorisation data, device identifiers (for Device Locking customers).
  • Platform usage data: IP addresses, access logs, device information, session data.

11.3 Lawful Basis for Processing

  • Consent: Where we collect and process Personal Data of End-Users (such as for mandate registration), we rely on consent obtained through the mandate authentication flow or the Customer’s consent mechanism.
  • Contractual Necessity: Processing necessary to fulfil the Services under these Terms or the Customer Agreement.
  • Legitimate Uses: Processing necessary to comply with Applicable Law, prevent fraud, or protect the security of the Platform.

11.4 Data Principal Rights

End-Users (Data Principals) have the following rights under the DPDP Act, 2023, which they may exercise by contacting us at support@rocketpay.co.in:

  • Right to Access — to obtain a summary of the Personal Data we hold about them and the processing activities carried out on it;
  • Right to Correction and Erasure — to correct inaccurate or incomplete Personal Data, and to request erasure of Personal Data where the purpose of processing is no longer applicable;
  • Right to Grievance Redressal — to have their grievances regarding processing of Personal Data addressed within the timeframes set out in Section 24 of these Terms;
  • Right to Nominate — to nominate another individual to exercise these rights in the event of the Data Principal’s death or incapacity.

11.5 Customer Obligations as Data Fiduciary

Where the Customer is the Data Fiduciary for End-User Personal Data processed through the Platform:

  • The Customer must obtain valid, informed consent from End-Users for the processing of their Personal Data, including mandate registration and (where applicable) device locking;
  • The Customer must maintain a lawful basis for all processing and must not use End-User data for purposes beyond those disclosed in their own privacy notice;
  • The Customer is responsible for responding to End-User data rights requests in relation to data for which the Customer is the Data Fiduciary;
  • The Customer must notify RocketPay promptly if they become aware of any data breach or compromise of End-User data.

11.6 Data Retention

We retain Personal Data for as long as necessary to provide the Services and comply with Applicable Law, including RBI record-keeping requirements. Upon termination of the Customer relationship, we will delete or anonymise Personal Data within a reasonable period, subject to any statutory retention obligations.

11.7 Data Security

We implement appropriate technical and organisational measures to protect Personal Data against unauthorised access, disclosure, alteration, or destruction. In the event of a Personal Data breach, we will notify affected parties in accordance with the DPDP Act and applicable RBI guidelines.

11.8 Cross-Border Data Transfers

All Personal Data is stored and processed in India. Any transfer of Personal Data outside India will be carried out only in accordance with the DPDP Act and any applicable government notifications on cross-border data transfer restrictions.

11.9 Cookies and Platform Analytics

Our web platform uses cookies and similar tracking technologies for functionality, security, and analytics purposes. By continuing to use the Platform, you consent to our use of these technologies as described in our Privacy Policy available at rocketpay.co.in.

12. Intellectual Property

The Platform, all software, algorithms, data models, user interfaces, trademarks, logos, and content on the Platform are the exclusive property of Absird Financial Technologies Private Limited or its licensors (including Trustonic, for Device Locking technology). The “RocketPay” name and logo are trademarks of the Company.

Nothing in these Terms transfers any intellectual property right to you. You may not use the RocketPay name, logo, or any of our trademarks without our prior written consent.

Where Customers submit data, reports, or configurations to the Platform, the Customer retains ownership of their data. By submitting data, the Customer grants us a limited licence to process it for the purpose of providing the Services.

13. Confidentiality

Both parties agree to maintain the confidentiality of the other’s Confidential Information and to use it solely for the purpose of performing obligations under these Terms. This obligation continues for a period of three (3) years after the termination of the relationship.

Confidential Information does not include information that: (a) is or becomes publicly available without breach of these Terms; (b) was already known to the receiving party; (c) is independently developed by the receiving party without reference to the disclosing party’s Confidential Information; or (d) must be disclosed under Applicable Law or court order (provided the receiving party gives reasonable notice where permitted).

Customer data (including End-User mandate data, transaction records, and business data) is Customer Confidential Information. We will not sell, licence, or disclose Customer data to third parties except as required to provide the Services or comply with Applicable Law.

14. Representations and Warranties

14.1 Customer Representations

By using the Platform, you represent and warrant that:

  • You have the authority to enter into these Terms and perform your obligations hereunder;
  • All information and documentation provided to us during onboarding and throughout the relationship is true, accurate, and up-to-date;
  • You hold all necessary licences, registrations, and approvals required to conduct your business and to use the Services (including, for lending entities, a valid RBI certificate of registration);
  • Your use of the Services complies with Applicable Law and you have obtained all necessary End-User consents;
  • You will not use the Services to engage in prohibited activities described in Section 10.

14.2 Our Representations

  • We have the right and authority to provide the Services;
  • The Platform operates substantially in accordance with the documentation provided;
  • We will comply with Applicable Law in providing the Services.

15. Disclaimers and Exclusion of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

In particular, we make no warranty or representation that:

  • The Platform will be available without interruption or error;
  • Any particular mandate will be successfully executed — debit success is subject to End-User account status, bank availability, and NPCI/NACH network availability;
  • Device locking or unlocking will occur instantaneously — OEM-level locking depends on device connectivity, Trustonic service availability, and carrier network conditions;
  • The Platform is free from security vulnerabilities — we take commercially reasonable precautions but cannot guarantee absolute security.

16. Indemnification

You agree to indemnify, defend, and hold harmless RocketPay, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your breach of these Terms;
  • Your violation of Applicable Law;
  • Your improper use of the Device Locking feature, including any claims from End-Users arising from unlawful locking, failure to unlock, or harassment;
  • Your failure to obtain valid End-User consent for mandates or device locking;
  • Any claim by an End-User or third party arising from your collection practices;
  • Any inaccuracy in the information you provide to us.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU TO US IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE INCIDENT GIVING RISE TO THE CLAIM;
  • IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms limits or excludes our liability for fraud, wilful misconduct, or death or personal injury caused by our negligence, or any liability that cannot be excluded under Applicable Law.

18. Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations under these Terms to the extent caused by events beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, government actions, RBI/NPCI regulatory directives, banking system outages, internet or telecom infrastructure failures, or pandemic events. The affected party shall promptly notify the other and shall use reasonable efforts to resume performance as soon as practicable.

19. Anti-Bribery and Anti-Corruption

Both parties agree to comply with all applicable anti-bribery and anti-corruption laws, including the Prevention of Corruption Act, 1988 and the Foreign Corrupt Practices Act (if applicable). Neither party shall offer, give, receive, or agree to receive any payment or benefit with the intent of improperly influencing a business decision or government official in connection with these Terms.

20. Term and Termination

20.1 Term

These Terms come into effect when you first access the Platform or agree to them during onboarding and remain in effect until terminated.

20.2 Termination by Customer

You may terminate your account by providing 30 days’ written notice to us at support@rocketpay.co.in, subject to settlement of all outstanding fees and completion of any active mandate or device locking workflows.

20.3 Termination by Us

We may suspend or terminate your access to the Platform, with or without notice, in the following circumstances:

  • Breach of these Terms that is not remedied within 15 days of written notice;
  • Non-payment of fees;
  • Regulatory direction from RBI, NPCI, or any other competent authority;
  • Your insolvency, liquidation, or cessation of business;
  • Reasonable belief of fraudulent activity or money laundering;
  • Any activity that, in our reasonable judgment, creates legal, regulatory, or reputational risk.

20.4 Effect of Termination

Upon termination: (a) all licences granted hereunder immediately cease; (b) any active mandates must be handled by the Customer through alternative means; (c) Device Locking access will be deactivated; (d) we will provide a final settlement report; and (e) each party must return or destroy the other’s Confidential Information. Clauses that by their nature should survive termination (including Confidentiality, Data Privacy, Indemnification, and Limitation of Liability) shall survive.

21. Transaction Disputes

21.1 Customer Disputes with End-Users

Disputes between Customers and their End-Users regarding the underlying transaction (loan amounts, EMI schedules, product purchases) are matters between the Customer and the End-User. RocketPay is not a party to such disputes and does not arbitrate them. We will provide transaction data and records to assist Customers in resolving disputes where reasonably practicable.

21.2 Payment Network Disputes

Disputes arising from NPCI/NACH network processing errors, wrongful debits, or mandate registration failures should be raised with us at support@rocketpay.co.in. We will engage the relevant payment network on your behalf. Our liability in such cases is limited to our reasonable efforts to resolve the matter through the network’s dispute resolution process.

21.3 Dispute Timelines

End-Users who believe they have been incorrectly debited may raise a dispute within 30 days of the debit. Customers must cooperate with RocketPay in resolving such disputes within the timelines set by the relevant payment network.

22. Technical Issues

In the event of a Platform outage or technical failure, we will use commercially reasonable efforts to restore services promptly. We maintain a status page and/or provide alerts to registered Customer contacts. For urgent technical issues, contact support@rocketpay.co.in.

We are not liable for transaction failures, missed collection windows, or data loss caused by third-party infrastructure (including NPCI, bank APIs, cloud providers, or Trustonic systems) beyond our reasonable control.

23. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. The courts of Bengaluru, Karnataka shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

Prior to initiating legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days from the date of written notice of the dispute. If the dispute is not resolved through negotiation, either party may refer it to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual agreement.

24.3 DPDP Grievances

Grievances specifically related to Personal Data processing under the DPDP Act, 2023 should be addressed to: support@rocketpay.co.in. We will respond within the timelines prescribed under the DPDP Act and its implementing rules, as notified by the Government of India.

24.4 Regulatory Escalation

If your grievance is not resolved to your satisfaction, you may approach the relevant regulatory authority: RBI Ombudsman (for payment-related grievances), NPCI (for UPI/NACH-specific issues), or the Data Protection Board of India (once constituted, for DPDP-related matters).

25. Amendments to These Terms

We may update these Terms from time to time. Material changes will be notified to registered Customers via email or through a platform notification at least 30 days before the effective date of the change. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Platform and notify us of termination.

26. General Provisions

26.1 Entire Agreement

These Terms, together with the Customer Agreement (if any) and our Privacy Policy, constitute the entire agreement between the parties in relation to the Services and supersede all prior understandings, agreements, and representations.

26.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.

26.3 Waiver

Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or our right to enforce it in the future.

26.4 Assignment

We may assign our rights and obligations under these Terms to a successor entity in the event of a merger, acquisition, or sale of all or substantially all of our assets. You may not assign your rights under these Terms without our prior written consent.

26.5 Notices

All formal notices under these Terms must be in writing and sent by email to: for RocketPay — support@rocketpay.co.in; for the Customer — the registered email address provided during onboarding. Notices sent by email are deemed received when the email enters the recipient’s mail server.

26.6 Relationship of Parties

The parties are independent contractors. These Terms do not create any partnership, joint venture, agency, franchise, or employment relationship between us.

Schedule I — Product and Service Descriptions

This Schedule describes the products and services offered on the RocketPay Platform as of the effective date of these Terms.

Part A — UPI Autopay Mandate Management

  • Customers can create UPI Autopay mandates for recurring debit instructions from End-Users’ UPI-linked bank accounts.
  • Supported mandate types: Fixed amount mandates and variable amount mandates (within NPCI-permitted limits).
  • Mandate lifecycle management: creation, modification, pause/resume, cancellation, and status tracking.
  • Collection scheduling and retry workflows.
  • Real-time mandate status and collection status via Platform dashboard and API.
  • Reconciliation reports and settlement summaries.

Part B — eNACH Mandate Management

  • Customers can register eNACH mandates for recurring bank account debits from End-Users.
  • Mandate registration via net banking or debit card authentication.
  • NACH presentation and re-presentation workflows.
  • Mandate modification and cancellation workflows.
  • Settlement reports and bank-level reconciliation support.

Part C — Device Locking (Trustonic / Google DLC)

  • OEM-level device locking for Android smartphones financed through Customer lending programmes.
  • Powered by Trustonic’s technology platform and Google’s Device Lock Controller (DLC).
  • Supports OEM-native locking (where OEM has integrated Trustonic) and DLC-level locking.
  • Remote lock and unlock triggered via Customer-authorised events (payment default / payment receipt).
  • Dashboard and API for lock/unlock management.
  • Compliant with RBI’s Device Locking Compliance (DLC) framework as notified.

Part D — Collections Workflow Automation

  • Configurable collection schedules linked to mandate-based debit instructions.
  • Automated retry logic for failed collections (within NPCI/NACH limits).
  • Alerts and notifications for mandate failures, cancellations, and exceptions.
  • Bulk collection management for lenders and distributors managing large portfolios.

Part E — API Integration Layer

  • RESTful APIs for mandate creation, status check, collection scheduling, and reporting.
  • Webhook support for real-time event notifications.

Part F — Android Application

  • Native Android application for Customer field agents and collection executives.
  • Features: Mandate setup, collection status check, customer management.
  • Available on Google Play Store.

Part G — Tally Plugin

  • Integration module for Tally ERP software used by MSME Customers.
  • Enables accounts receivable workflows to be connected to RocketPay mandate collections.
  • Supports bulk mandate creation and payment reconciliation within Tally.
